By accessing or using TRUEHOUR (the "Service"), operated by Walnut Flat LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

TRUEHOUR is a financial operating system for equipment-based small businesses. The Service helps users calculate equipment Owning & Operating (O&O) costs, track job performance, and access industry benchmarks.

3. User Accounts

• You must be at least 13 years old to use this Service
• You are responsible for maintaining the security of your account credentials
• You are responsible for all activities that occur under your account
• You must provide accurate and complete information when creating an account

4. Subscription Plans

30-Day Full Access

New users receive 30 days of full access to all features with no credit card required. When the access period ends, a Pro subscription is required for continued full functionality. No paid subscription begins automatically when the access period ends, and your data is retained.

TRUEHOUR Pro ($14.99/month or $149.99/year)

Unlimited machines, advanced job estimating, real-time profitability engine, enhanced AI features, advanced reporting, and cloud backup with cross-device sync.

5. Payment Terms

• Pro subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• You may cancel your subscription at any time; access continues until the end of the billing period
• We reserve the right to change pricing with 30 days notice

6. User Data and Content

• You retain ownership of all data you enter into the Service
• You grant us a license to use your data to provide and improve the Service
• Anonymized, aggregated data may be used for benchmark calculations
• We will not share your individual data with third parties except as described in our Privacy Policy

To the maximum extent permitted by law, Walnut Flat LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Benchmarks provided by TRUEHOUR are based on aggregated, anonymous data and are provided for informational context only. Benchmarks:

• Are not guarantees of performance or profitability
• May not reflect your specific market conditions
• Should not be the sole basis for pricing or business decisions
• Are updated periodically and may change over time

10. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer or extract source code
• Interfere with or disrupt the Service or servers
• Submit false or misleading data to manipulate benchmarks
• Share your account credentials with others
• Resell or redistribute the Service without authorization

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the new Terms.
